Article R123-260 of the French Commercial code

The following shall be entered in the National Register of Companies, upon declaration by the economic interest group at the time of its registration:

1° Concerning the person:

> a) The group’s name
a) The name of the grouping, followed, where appropriate, by its acronym;

> b) The address of the registered office;

c) The name of the grouping, followed, where appropriate, by its acronym
b) The address of the registered office;

c) A literal description of its main activity and whether it is civil, commercial or in the trades and crafts sector;

d) Its duration
d) Its duration;

> e) For each individual member of the group
e) For each natural person who is a member of the grouping, the information provided for in a of 1° of Article R. 123-243, with the exception of the registration number in the national register for the identification of natural persons if they are registered there, and, where applicable, the unique identification number of these persons, an indication of the name of the registry with which they are registered, as well as an indication of the persons exempted from debts arising prior to their entry into the grouping;

f) For each legal entity that is a member of the grouping, the information provided for in 1°, 2° and 4° of Article R. 123-244 and, where applicable, the unique identification number of these entities, the name of the registry with which they are registered, and an indication of the entities that are exempt from debts arising prior to their entry into the grouping;

g) For directors and persons responsible for management control and auditing the accounts, in the case of natural persons, their surname, usual name, pseudonym, forenames, date and place of birth, personal address and nationality, and in the case of legal persons, the company name, legal form, address of the registered office and:

> i) For legal persons governed by the law of the Member State, the name and address of the registered office, the date and place of birth, personal address and nationality of the person responsible for management control and auditing the accounts.
i) For legal entities incorporated under French law and registered in the register, the information referred to in 1° and 2° of Article R. 123-237;

> ii) For companies governed by French law, the information referred to in 1° and 2° of Article R. 123-237.
ii) For companies governed by the legislation of another Member State of the European Union or party to the Agreement on the European Economic Area, the number and place of registration in a public register;

iii) For legal entities not governed by the legislation of another Member State of the European Union or party to the Agreement on the European Economic Area, the number and place of registration in a public register
iii) For legal entities that are not registered or are governed by the legislation of a State that is not a member of the European Union or a party to the Agreement on the European Economic Area, the name, business name, pseudonym, forenames and domicile of the persons who have the power to direct, manage or commit them on a regular basis;

> iv) For the permanent representative of a legal entity that is not registered or is governed by the legislation of a State that is not a member of the European Union or a party to the Agreement on the European Economic Area
iv) For the permanent representative of a legal entity that is a director or auditor, the information provided for in a of 1° of Article R. 123-243.
h) The references, where applicable, of the main or secondary establishments located and registered in another Member State of the European Union or party to the Agreement on the European Economic Area. In addition, the legal entity may declare information relating to the address and principal activity of these establishments on presentation of the supporting documents defined by the decree provided for in Article R. 123-292;

2° As regards the activity and the establishment, the information provided for in articles R. 123-243 to R. 123-245. Information relating to commercial companies or companies in the trades and crafts sector is declared by the economic interest group, where its purpose falls within these types of activity.

Article R123-260

Sont inscrits au sein du Registre national des entreprises, sur déclaration du groupement d’intérêt économique à l’occasion de son immatriculation, les éléments suivants :

1° En ce qui concerne la personne :

a) La dénomination du groupement, suivie, le cas échéant, de son sigle ;

b) L’adresse du siège ;

c) La description littérale de son activité principale et si sa nature est civile, commerciale ou relève du secteur des métiers et de l’artisanat ;

d) Sa durée ;

e) Pour chaque personne physique membre du groupement, les renseignements prévus au a du 1° de l’article R. 123-243, à l’exception du numéro d’inscription au répertoire national d’identification des personnes physiques si elle y est inscrite, et, le cas échéant, le numéro unique d’identification de ces personnes, l’indication du nom du greffe auprès duquel elles sont immatriculées, ainsi que l’indication des personnes exonérées des dettes nées antérieurement à leur entrée dans le groupement ;

f) Pour chaque personne morale membre du groupement, les renseignements prévus aux 1°, 2° et 4° de l’article R. 123-244 et, le cas échéant, le numéro unique d’identification de ces personnes, l’indication du nom du greffe auprès duquel elles sont immatriculées, ainsi que l’indication des personnes exonérées des dettes nées antérieurement à leur entrée dans le groupement ;

g) Pour les administrateurs et les personnes chargées du contrôle de la gestion et du contrôle des comptes, lorsqu’il s’agit de personnes physiques, leurs nom, nom d’usage, pseudonyme, prénoms, date et lieu de naissance, domicile personnel et nationalité et lorsqu’il s’agit de personnes morales, la dénomination sociale, la forme juridique, l’adresse du siège ainsi que :

i) Pour les personnes morales de droit français immatriculées au registre, les renseignements mentionnés aux 1° et 2° de l’article R. 123-237 ;

ii) Pour les sociétés relevant de la législation d’un autre Etat membre de l’Union européenne ou partie à l’accord sur l’Espace économique européen, le numéro et le lieu d’immatriculation dans un registre public ;

iii) Pour les personnes morales non immatriculées ou relevant de la législation d’un Etat non membre de l’Union européenne ou partie à l’accord sur l’Espace économique européen, les nom, nom d’usage, pseudonyme, prénoms et domicile des personnes ayant le pouvoir de les diriger, gérer ou engager à titre habituel ;

iv) Pour le représentant permanent d’une personne morale administrateur ou contrôleur des comptes, les renseignements prévus au a du 1° de l’article R. 123-243.

h) Les références, le cas échéant, des établissements principaux ou secondaires situés et immatriculés dans un autre Etat membre de l’Union européenne ou partie à l’accord sur l’Espace économique européen. En outre, la personne morale peut déclarer les mentions relatives à l’adresse et à l’activité principale de ces établissements sur présentation des justificatifs définis par l’arrêté prévu à l’article R. 123-292 ;

2° En ce qui concerne l’activité et l’établissement, les renseignements prévus aux articles R. 123-243 à R. 123-245. Les informations relatives aux sociétés commerciales ou relevant du secteur des métiers et de l’artisanat sont déclarées par le groupement d’intérêt économique, lorsque son objet relève de ces natures d’activités.
