Article R123-74-1 of the French Commercial code

The registrar of the court within whose jurisdiction the company or companies resulting from the cross-border merger, cross-border demerger or cross-border transformation, as the case may be, are registered shall without delay notify the registrar or the competent authority of the registered office of each company that participated in the operation of the effectiveness of the operation and of the registration of the companies.

The registrar of each court within whose jurisdiction a company which has participated in the operation and whose registered office was situated in France is registered shall automatically deregister the company upon receipt of the notification of the cross-border operation taking effect in the Member State concerned and shall specify whether the deregistration results from a merger, a division or a conversion.

Le greffier du tribunal dans le ressort duquel sont immatriculées, selon le cas, la ou les sociétés issues de la fusion transfrontalière, la scission transfrontalière ou la transformation transfrontalière notifie sans délai la prise d’effet de l’opération ainsi que l’immatriculation des sociétés au greffier ou à l’autorité compétente du siège de chaque société ayant participé à l’opération.

Le greffier de chaque tribunal dans le ressort duquel est immatriculée une société ayant participé à l’opération et dont le siège était situé en France procède d’office à la radiation de son immatriculation dès réception de la notification de la prise d’effet de l’opération transfrontalière dans l’Etat membre considéré et précise si la radiation résulte d’une fusion, d’une scission ou d’une transformation.
