Article R1313-13 of the French Public Health Code

Decisions of the Board of Directors are taken by simple majority. Board members each have one vote, with the exception of the representatives of the ministers mentioned in a, b, c, d and e of 1° of article R. 1313-4, who each have five votes.

The Board of Directors may only validly deliberate if at least one quarter of its members holding at least half of the votes are present. If the quorum is not reached, the Board is convened with the same agenda within fifteen days. It shall then validly deliberate regardless of the number of members present.

Les décisions du conseil d’administration sont prises à la majorité simple. Les membres du conseil disposent chacun d’une voix à l’exception des représentants des ministres mentionnés aux a, b, c, d et e du 1° de l’article R. 1313-4 qui disposent chacun de cinq voix.


Le conseil d’administration ne peut délibérer valablement que si un quart au moins de ses membres détenant au moins la moitié des voix sont présents. Si le quorum n’est pas atteint, le conseil est convoqué sur le même ordre du jour dans les quinze jours. Il délibère alors valablement quel que soit le nombre de membres présents.
