Article R1313-15 of the French Public Health Code

The Board of Directors may delegate certain of its powers to its Chairman or to the Chief Executive Officer, with the exception of the matters referred to in 1°, 3°, 4°, 6°, 7°, 10°, 18° and 20°, within the limits that it shall determine and in accordance with procedures that allow it to be held accountable.
