Article R211-3 of the French Monetary and Financial Code

Where the issuer is responsible for maintaining securities accounts or registering securities in a shared electronic recording system and appoints an agent for this purpose, it shall publish the name and address of its agent in the Bulletin des annonces légales obligatoires, together with the category of financial securities for which the agent is appointed.

The conditions under which this agent, when it is a “DLT market infrastructure” within the meaning of Regulation (EU) 2022/858 of the European Parliament and of the Council of 30 May 2022 on a pilot scheme for market infrastructures based on distributed ledger technology and amending Regulations (EU) No 600/2014 and (EU) No 909/2014 and Directive 2014/65/EU, is liable to the issuer in the event of loss, in particular of the DLT financial instrument, are set out in Article 7 paragraph 6 of the said Regulation.

Lorsque la tenue des comptes-titres ou l’inscription de titres dans un dispositif d’enregistrement électronique partagé incombe à l’émetteur et que ce dernier désigne un mandataire à cet effet, il publie au Bulletin des annonces légales obligatoires la dénomination et l’adresse de son mandataire, ainsi que la catégorie de titres financiers qui fait l’objet du mandat.

Les conditions dans lesquelles ce mandataire, lorsqu’il est une “ infrastructure de marché DLT ” au sens du règlement (UE) 2022/858 du Parlement européen et du Conseil du 30 mai 2022 sur un régime pilote pour les infrastructures de marché reposant sur la technologie des registres distribués, et modifiant les règlements (UE) n° 600/2014 et (UE) n° 909/2014 et la directive 2014/65/ UE, est responsable vis-à-vis de l’émetteur en cas de perte, notamment de l’instrument financier DLT, sont fixées à l’article 7 paragraphe 6 dudit règlement.
