Article R213-24 of the French Monetary and Financial Code

Within one month of their approval by the General Meeting, all bond-issuing associations shall file with the court clerk’s office, for inclusion in the Trade and Companies Register, the annual financial statements, the management report and the auditors’ report for the past financial year, together with any observations they may have on the amendments made by the General Meeting to the annual financial statements submitted to them. If approval is refused, a copy of the resolution must be filed within the same time limit.

Toute association émettrice d’obligations dépose au greffe du tribunal, pour être annexés au registre du commerce et des sociétés, dans le mois qui suit leur approbation par l’assemblée générale, les comptes annuels, le rapport de gestion et le rapport des commissaires aux comptes de l’exercice écoulé, éventuellement complété des observations de ceux-ci sur les modifications apportées par l’assemblée aux comptes annuels qui leur ont été soumis. En cas de refus d’approbation, une copie de la délibération est déposée dans le même délai.
