Article R221-9 of the French Commercial code

If the amended Articles of Association have not been published in the Trade and Companies Register as required by paragraph 2 of Article L. 221-14, the transferor or transferee may, after formal notice has been given by the manager to effect such publication, which has remained unsuccessful after a period of eight days, and by providing evidence of having referred the matter to the president of the court pursuant to article L. 123-5-1 or article L. 210-7, file the share transfer deed with the Trade and Companies Register. As a precautionary measure and until the court has given its decision, this filing renders the transfer enforceable against third parties, subject to completion of the formalities provided for in the first paragraph of article L. 221-14.

En l’absence de publication des statuts modifiés au registre du commerce et des sociétés prescrite par l’alinéa 2 de l’article L. 221-14, le cédant ou le cessionnaire peut, après mise en demeure du gérant d’effectuer cette publication, restée vaine au terme d’un délai de huit jours, et en justifiant de la saisine du président du tribunal en application de l’article L. 123-5-1 ou de l’article L. 210-7, déposer contre récépissé l’acte de cession de parts sociales au registre du commerce et des sociétés. A titre conservatoire et jusqu’à la décision du tribunal, ce dépôt rend la cession opposable aux tiers, sous réserve de l’accomplissement des formalités prévues à l’alinéa premier de l’article L. 221-14.
