The minutes of the meeting indicate the date and place of the meeting, the method of convening, the agenda, the composition of the officers, the number of shares participating in the vote and the quorum reached, the documents and reports submitted to the meeting, a summary of the discussions, the text of the resolutions put to the vote and the results of the votes. It is signed by the officers of the meeting. Where Article L. 225-103-1 applies, it may be signed using an electronic signature that complies at least with the requirements for an advanced electronic signature set out in Article 26 of Regulation (EU) No 910/2014 of the European Parliament and of the Council of 23 July 2014 on electronic identification and trust services for electronic transactions in the internal market.
The minutes shall mention, where applicable, that the meeting was held by exclusive use of videoconferencing or telecommunication means under the conditions provided for in Article L. 225-103-1.
The minutes shall be drawn up in a special register kept at the registered office, under the conditions provided for in Articles R. 225-22 and R. 225-49.
