Article R225-34-2 of the French Commercial code

To serve on the Board of Directors and its committees, the directors elected by the General Meeting of Shareholders pursuant to Article L. 225-23 and the directors elected by the employees or appointed pursuant to Article L. 225-27-1 have preparation time which may not be less than fifteen hours nor more than half the legal monthly working time per meeting of the Board of Directors or the committee in question. The Board of Directors shall determine this amount, taking into account the size of the company, its workforce and its economic role and, where applicable, the purpose of the meeting.

The time devoted to the performance of their duties by the directors referred to in the first paragraph shall be considered as actual working time and remunerated as such at the normal time.

Pour exercer leur mandat au sein du conseil d’administration et de ses comités, les administrateurs élus par l’assemblée générale des actionnaires en application de l’article L. 225-23 et les administrateurs élus par les salariés ou désignés en application de l’article L. 225-27-1 disposent d’un temps de préparation qui ne peut être inférieur à quinze heures ni supérieur à la moitié de la durée légale de travail mensuel par réunion du conseil d’administration ou du comité considéré. Le conseil d’administration le détermine en tenant compte de l’importance de la société, de ses effectifs et de son rôle économique et, le cas échéant, de l’objet de la réunion.

Le temps consacré à l’exercice de leur mandat par les administrateurs mentionnés au premier alinéa est considéré comme temps de travail effectif et rémunéré comme tel à l’échéance normale.
