Article R225-34-3 of the French Commercial code

The training provided for in Article L. 225-30-2 and Article L. 225-23 ensures that directors elected by the General Meeting of Shareholders pursuant to Article L. 225-23 and to directors elected by employees or appointed pursuant to Article L. 225-27-1 the acquisition and improvement of the knowledge and techniques required to carry out their duties.

It mainly covers the role and operation of the Board of Directors, the rights and obligations of directors and their liability, and the organisation and activities of the company.

The Board of Directors determines, for the duration of the term of office, the content of the training programme after consulting the directors concerned.

La formation prévue à l’article L. 225-30-2 et à l’article L. 225-23 assure aux administrateurs élus par l’assemblée générale des actionnaires en application de l’article L. 225-23 et aux administrateurs élus par les salariés ou désignés en application de l’article L. 225-27-1 l’acquisition et le perfectionnement des connaissances et techniques nécessaires à l’exercice de leur mandat.

Elle porte principalement sur le rôle et le fonctionnement du conseil d’administration, les droits et obligations des administrateurs et leur responsabilité ainsi que sur l’organisation et les activités de la société.

Le conseil d’administration détermine, pour la durée du mandat, le contenu du programme de formation après avis des administrateurs concernés.
