Article R225-40 of the French Commercial code

When a transaction requires the authorisation of the Supervisory Board and the latter refuses it, the Management Board may submit the dispute to the General Meeting of Shareholders, which will decide what action to take.

Lorsqu’une opération exige l’autorisation du conseil de surveillance et que celui-ci la refuse, le directoire peut soumettre le différend à l’assemblée générale des actionnaires qui décide de la suite à donner au projet.
