Article R225-56 of the French Commercial code

The Supervisory Board may confer on one or more of its members any special mandates for one or more specific purposes.

It may decide to set up committees from among its members, the composition and powers of which it shall determine and which shall carry out their activities under its responsibility, without the purpose of these powers being to delegate to a committee the powers which are attributed to the Supervisory Board itself by law or the Articles of Association, or having the effect of reducing or limiting the powers of the Management Board.

Le conseil de surveillance peut conférer à un ou plusieurs de ses membres tous mandats spéciaux pour un ou plusieurs objets déterminés.

Il peut décider la création en son sein de commissions dont il fixe la composition et les attributions et qui exercent leur activité sous sa responsabilité, sans que ces attributions puissent avoir pour objet de déléguer à une commission les pouvoirs qui sont attribués au conseil de surveillance lui-même par la loi ou les statuts ni pour effet de réduire ou de limiter les pouvoirs du directoire.
