The statutory auditors’ report, provided for in the third paragraph of Article L. 225-88, contains:
1° A list of the agreements and commitments subject to approval by the General Meeting;
2° The names of the members of the Supervisory Board or the Management Board concerned;
3° The designation of the shareholder(s) concerned holding more than 10% of the voting rights and, in the case of a corporate shareholder, the company controlling it within the meaning of Article L. 233-3 ;
4° The nature and purpose of these agreements and commitments;
5° The essential terms and conditions of these agreements and commitments, in particular an indication of the prices or rates applied, rebates and commissions granted, payment periods granted, interest stipulated, securities granted, the reasons justifying the interest of these agreements and commitments for the company, retained by the Supervisory Board pursuant to the last paragraph of Article L. 225-86 and, where applicable, any other information enabling shareholders to assess the interest involved in entering into the agreements and commitments analysed;
6° A list of the agreements and commitments entered into and authorised during previous financial years, the performance of which continued during the last financial year and which were examined by the Supervisory Board pursuant to Article L. 225-88-1, as well as, where applicable, any information enabling shareholders to assess the benefit to the company of maintaining the agreements and commitments listed, the extent of the supplies or services provided and the amount of the sums paid or received during the financial year in execution of these agreements and commitments.
