Article R229-20 of the French Commercial code

The proposed conversion of the société anonyme, provided for in the second paragraph of article L. 225-245-1, is the subject of a notice inserted in a medium authorised to receive legal announcements in the department of the registered office and in the Bulletin des annonces légales obligatoires when the company’s shares are admitted to trading on a regulated market or when its shares are not all in registered form.

This notice includes the following information:

1° The company name followed, where applicable, by its acronym, the address of the registered office, the amount of the share capital and the information provided for in 1° and 2° of article R. 123-237;

2° A statement that the société anonyme intends to convert into a société européenne;

3° The date of the project and the date and place of its filing with the clerk of the court in whose jurisdiction the company is registered.

This filing and the publication provided for in the first paragraph shall be carried out at least one month before the date of the first meeting called to decide on the operation.

Article R229-20

Le projet de transformation de la société anonyme, prévu au deuxième alinéa de l’article L. 225-245-1, fait l’objet d’un avis inséré dans un support habilité à recevoir des annonces légales dans le département du siège social ainsi qu’au Bulletin des annonces légales obligatoires lorsque les actions de la société sont admises aux négociations sur un marché réglementé ou lorsque ses actions ne revêtent pas toutes la forme nominative.

Cet avis comporte les indications suivantes :

1° La dénomination sociale suivie, le cas échéant, de son sigle, l’adresse du siège social, le montant du capital social et les mentions prévues aux 1° et 2° de l’article R. 123-237 ;

2° La mention que la société anonyme envisage de se transformer en société européenne ;

3° La date du projet ainsi que la date et le lieu de son dépôt au greffe du tribunal dans le ressort duquel la société est immatriculée.

Il est procédé à ce dépôt et à la publicité prévue au premier alinéa un mois au moins avant la date de la première assemblée appelée à statuer sur l’opération.
