The board of directors or the management board shall convene the general meeting within eight days of the invitation issued by the statutory auditor, in accordance with the conditions set out in the articles R. 225-62 et seq. The general meeting must, in any event, be convened no later than one month after the date of notification made by the statutory auditor.
If the Board of Directors or the Management Board fails to do so, the Statutory Auditor shall convene the General Meeting within eight days of the expiry of the period allowed to the Board of Directors or the Management Board and shall set the agenda. If necessary, he may choose a venue other than that provided for in the Articles of Association, but located in the same département. In all cases, the costs incurred by the meeting shall be borne by the company.
