Article R4131-25 of the French Public Health Code

When the company is dissolved, and subject to the provisions of the second paragraph of this article, the net assets remaining after extinction of liabilities and reimbursement of paid-up capital are devolved by decision of the members’ meeting either to another doctors’ cooperative or to a union of cooperatives, or to a work of general or professional interest.

However, if justified by particular circumstances, the distribution of the net assets among the members may be authorised, after consultation with the Conseil Supérieur de la Coopération, by order of the ministers responsible for health and labour.

Lors de la dissolution de la société et sous réserve des dispositions du deuxième alinéa du présent article, l’actif net subsistant après extinction du passif et remboursement du capital versé est dévolu par décision de l’assemblée des associés soit à une autre coopérative de médecins ou à une union de coopératives, soit à une oeuvre d’intérêt général ou professionnel.

Toutefois, si des circonstances particulières le justifient, la répartition de l’actif net entre les associés peut être autorisée, après avis du conseil supérieur de la coopération, par arrêté des ministres chargés de la santé et du travail.
