Article R422-23 of the French Intellectual Property Code

Subject to the provisions of section 19 of the law of 29 November 1966 and those of this sub-section imposing special majority conditions, decisions are taken by a majority of the votes held by the members present or represented.

However, the Articles of Association may provide for a higher majority or even unanimity of the members for all decisions or only for those they list.

Sous réserve des dispositions de l’article 19 de la loi du 29 novembre 1966 et de celles de la présente sous-section imposant des conditions spéciales de majorité, les décisions sont prises à la majorité des voix dont disposent les associés présents ou représentés.

Toutefois, les statuts peuvent prévoir une majorité plus forte ou même l’unanimité des associés pour toutes les décisions ou seulement pour celles qu’ils énumèrent.
