Article R422-39 of the French Intellectual Property Code

In the event of amendment of the Articles of Association, a copy of the full minutes of the meeting or the amending deed consisting of one of the originals if it is in private document form, or a copy if it has been drawn up in notarial form, shall be sent within two months to the Director General of the National Institute of Industrial Property and to the President of the company of industrial property attorneys.

If the new provisions of the Articles of Association do not comply with the legislative or regulatory provisions, and if they are not rectified within the time limit set by the Director General of the National Institute of Industrial Property, the latter, after calling on the company to present its oral or written observations, shall strike it off the national list of industrial property attorneys under the conditions laid down in Articles R. 422-58-2 to R. 422-62.

Publication of changes is made as provided for in Articles 22 et seq of Decree no. 84-406 of 30 May 1984.

Article R422-39

En cas de modification des statuts, une copie du procès-verbal complet de l’assemblée ou l’acte modificatif constitué par l’un des originaux si celui-ci est sous seing privé, ou par une expédition s’il a été établi sous la forme authentique, est adressée dans un délai de deux mois au directeur général de l’Institut national de la propriété industrielle et au président de la compagnie des conseils en propriété industrielle.

Si les nouvelles dispositions des statuts ne sont pas conformes aux dispositions législatives ou réglementaires, et si la régularisation n’en est pas faite dans le délai imparti par le directeur général de l’Institut national de la propriété industrielle, celui-ci, après avoir appelé la société à présenter ses observations orales ou écrites, la radie de la liste nationale des conseils en propriété industrielle dans les conditions prévues aux articles R. 422-58-2 à R. 422-62.

La publication des modifications est faite ainsi qu’il est prévu aux articles 22 et suivants du décret n° 84-406 du 30 mai 1984.
