Article R444-21 of the French Commercial code

The information and data provided for in articles R. 444-18 to R. 444-20 are collected from the professionals mentioned in article L. 444-1 by the national professional bodies listed in Article R. 444-17, which transmit them annually, either by secure electronic communication or by any other appropriate means, to the authorities mentioned in Article L. 444-5 by the national professional bodies listed in Article R. 444-17, in accordance with the procedures set out in this Article and, at the latest, by a date set by joint order of the Ministers of Justice and the Economy. The transmission shall include both the relevant information and data originating from professionals and that resulting from their aggregation by the competent departments of the national professional bodies.

The national professional bodies shall ensure, by any means, that the information and data collected referred to in the first paragraph cannot be used or disclosed in violation of secrets protected by law, in particular business secrets. Each professional body shall designate the person or persons responsible for ensuring the confidentiality of such information and data.

The national professional bodies shall draw up, each insofar as it is concerned, directives governing the conditions of access, use and storage of such information and data and the traceability of their consultation, with a view to ensuring their security and confidentiality.

Without prejudice to their own obligations, the persons specially authorised by each of the national professional bodies to ensure the collection, consistency verification of this information and data emanating from the professionals mentioned in article L. 444-1 as well as their aggregation in accordance with article R. 444-19 and their transmission to the authorities concerned are bound by an obligation of confidentiality with regard to this information and data. They alone have access to useful information and data originating from professionals collected pursuant to article L. 444-5.

The persons referred to in the previous paragraph do not exercise the profession covered by the body on whose behalf they carry out the operations referred to in that same paragraph.

Article R444-21

Les informations et données prévues aux articles R. 444-18 à R. 444-20 sont collectées auprès des professionnels mentionnés à l’article L. 444-1 par les instances professionnelles nationales énumérées à l’article R. 444-17 qui les transmettent annuellement, soit par voie de communication électronique sécurisée, soit par tout autre moyen approprié, aux autorités mentionnées à l’article L. 444-5 par les instances professionnelles nationales énumérées à l’article R. 444-17, selon des modalités prévues par le présent article et, au plus tard, à une date fixée par arrêté conjoint des ministres de la justice et de l’économie. La transmission comprend à la fois les informations et données utiles originaires des professionnels et celles résultant de leur agrégation opérée par les services compétents des instances professionnelles nationales.

Les instances professionnelles nationales veillent, par tout moyen, à ce que les informations et données recueillies mentionnées au premier alinéa ne puissent être utilisées ou divulguées en violation de secrets protégés par la loi, notamment du secret des affaires. Chaque instance professionnelle désigne la ou les personnes en charge du respect de la confidentialité de ces informations et données.

Les instances professionnelles nationales élaborent, chacune pour ce qui la concerne, les directives régissant les conditions d’accès, d’usage et de conservation de ces informations et données et la traçabilité de leur consultation, aux fins d’en assurer la sécurité et la confidentialité.

Sans préjudice des obligations qui leur sont propres, les personnes spécialement habilitées par chacune des instances professionnelles nationales pour assurer la collecte, la vérification de cohérence de ces informations et données émanant des professionnels mentionnés à l’article L. 444-1 ainsi que leur agrégation conformément à l’article R. 444-19 et leur transmission aux autorités concernées sont tenues à une obligation de confidentialité à l’égard de ces informations et données. Elles ont seules accès aux informations et données utiles originaires des professionnels recueillies en application de l’article L. 444-5.

Les personnes mentionnées au précédent alinéa n’exercent pas la profession relevant de l’instance pour le compte de laquelle elles effectuent les opérations mentionnées à ce même alinéa.
