Article R511-16-2 of the French Monetary and Financial Code

Within credit institutions and finance companies, the members of the Board of Directors or the Supervisory Board, on the one hand, and the members of the Management Board or any other body exercising equivalent functions or any persons who effectively manage the business of the institution within the meaning of Article L. 511-13, on the other hand, collectively have the necessary knowledge, skills and experience referred to in Article L. 511-51 on banking and financial markets, legal and regulatory requirements applicable to the credit institution or finance company, its system of governance, including internal control, strategic planning and implementation, risk management, and accounting and financial information.

Au sein des établissements de crédit et des sociétés de financement, les membres du conseil d’administration ou du conseil de surveillance, d’une part, et les membres du directoire ou de tout autre organe exerçant des fonctions équivalentes ou toutes personnes qui assurent la direction effective de l’activité de l’établissement au sens de l’article L. 511-13, d’autre part, disposent collectivement des connaissances, des compétences et de l’expérience nécessaires mentionnées à l’article L. 511-51 en matière de marchés bancaires et de marchés financiers, d’exigences légales et réglementaires applicables à l’établissement de crédit ou à la société de financement, de son système de gouvernance, dont le contrôle interne, de planification stratégique et de sa mise en œuvre, de gestion des risques, d’information comptable et financière.
