Article R5125-24-5 of the French Public Health Code

Registration of the company in the Trade and Companies Register is governed by articles R. 123-31 et seq. of the Commercial Code, subject to the following provisions.

The joint representative appointed by the partners shall send to the clerk of the court where the application for registration has been filed a copy of the application for registration with the professional body provided for in article R. 4222-3-1 and, where applicable, the decision of the competent professional body referred to in article R. 5125-24-4.

On receipt of this document, the Registrar will register the company and inform the President of the Association Council with which the company is registered, as well as the Director General of the Regional Health Agency.

The company is exempt from the publication formalities provided for in articles R. 210-16 et seq. of the French Commercial Code.

Article R5125-24-5

L’immatriculation de la société au registre du commerce et des sociétés est régie par les articles R. 123-31 et suivants du code de commerce, sous réserve des dispositions suivantes.

Le mandataire commun désigné par les associés adresse au greffe du tribunal où a été déposée la demande d’immatriculation une copie de la demande d’inscription à l’ordre prévue à l’article R. 4222-3-1 et, le cas échéant, la décision du conseil de l’ordre compétent mentionnée à l’article R. 5125-24-4.

A la réception de ce document, le greffier procède à l’immatriculation et en informe le président du conseil de l’ordre auprès duquel la société est inscrite, ainsi que le directeur général de l’agence régionale de santé.

La société est dispensée de procéder aux formalités de publicité prévues aux articles R. 210-16 et suivants du code de commerce.
