Article R514-30 of the French Monetary and Financial Code

The Guidance and Supervisory Board meets at least once every three months.

It may also be convened by the Chairman whenever he considers it necessary or at the request of the majority of its members or the Director of the institution.

The members of the Board may be represented by one of their number, provided that this person holds only this mandate. The power of attorney must be in the name of the member and must be specific for each meeting.

The Director of the institution attends meetings of the Steering and Supervisory Board as of right.

Article R514-30

Le conseil d’orientation et de surveillance se réunit au moins une fois par trimestre.

Il peut, en outre, être convoqué par le président toutes les fois que celui-ci l’estime nécessaire ou à la demande de la majorité des membres ou du directeur de l’établissement.

Les membres du conseil peuvent se faire représenter par l’un d’entre eux à condition que celui-ci ne soit porteur que de ce mandat. Le mandat doit être nominatif et spécial pour chaque séance.

Le directeur de l’établissement assiste de droit aux réunions du conseil d’orientation et de surveillance.
