Decisions of the Board of Directors are taken by a majority of votes of the members present or represented.
The members of the Board, including the Chairman, each have one vote, with the exception of the State representatives mentioned in 1° of article R. 5322-1, who each have two votes. The Chairman has the casting vote in the event of a tie.
The Board of Directors may only validly deliberate if at least one third of its members holding at least half of the votes are present. If the quorum is not reached, the Board is convened within fifteen days on the same agenda. It shall then validly deliberate regardless of the number of members present.
