Article R5322-4 of the French Public Health Code

In the event of a seat becoming vacant due to the permanent inability of its holder or the loss by a member of the capacity in respect of which he has been appointed, a new member shall be appointed in accordance with the conditions laid down in article R. 5322-1 or the Chairman shall be appointed in accordance with the conditions laid down in article L. 5322-1. The term of office of this member or of the chairman thus appointed expires at the same time as that of the other members of the Board of Directors, with the exception of those mentioned in 2° of article R. 5322-1. In the same circumstances, the staff representatives are replaced under the conditions laid down in the internal regulations.

Article R5322-4

En cas de vacance d’un siège du fait de l’empêchement définitif de son titulaire ou de la perte par un membre de la qualité au titre de laquelle il a été désigné, il est procédé à la désignation d’un nouveau membre dans les conditions prévues à l’article R. 5322-1 ou du président, dans les conditions prévues à l’article L. 5322-1. Le mandat de ce membre ou du président ainsi nommé expire en même temps que celui des autres membres du conseil d’administration, à l’exception de ceux mentionnés au 2° de l’article R. 5322-1. Dans ces mêmes circonstances, les représentants du personnel sont remplacés dans les conditions prévues par le règlement intérieur.
