Article R612-5 of the French Monetary and Financial Code

When a panel of the supervisory board, or where applicable a specialised commission, decides by written consultation, in application of the third paragraph of Article L. 612-13, the Chairman shall, within a time limit that he shall set, obtain the votes of the members and the observations of the Director General of the Treasury and, where applicable, the Director of Social Security or their representatives. This period may not be less than two working days. If a member so requests in writing within this time limit, the deliberation takes place during the next meeting of the panel concerned. In order for the results of the consultation to be taken into account, at least half of the votes cast by the members of the committee concerned must be received within the time limit set by the Chairman. The Chairman informs the members of the panel concerned and the Director General of the Treasury and, where applicable, the Director of Social Security of the decision taken in writing as soon as possible.

Decisions taken by written consultation are deemed to have been taken at the end of the period referred to in the first paragraph. They are appended to the minutes of the next meeting of the panel concerned. The names of the members who voted and those who did not take part in the consultation shall be mentioned.

Lorsqu’une formation du collège de supervision, ou le cas échéant une commission spécialisée, statue par voie de consultation écrite, en application du troisième alinéa de l’article L. 612-13, le président recueille, dans un délai qu’il fixe, les votes des membres et les observations du directeur général du Trésor et, le cas échéant, du directeur de la sécurité sociale ou de leurs représentants. Ce délai ne peut être inférieur à deux jours ouvrés. Si un membre en fait la demande écrite dans ce délai, la délibération intervient au cours de la réunion suivante de la formation concernée. Pour que ses résultats puissent être pris en compte, la consultation doit avoir permis de recueillir la moitié au moins des votes des membres de la formation concernée dans le délai fixé par le président. Le président informe par écrit dans les meilleurs délais les membres de la formation concernée et le directeur général du Trésor et, le cas échéant, le directeur de la sécurité sociale de la décision prise.

Les décisions prises par voie de consultation écrite sont réputées être intervenues à l’issue du délai mentionné au premier alinéa. Elles sont annexées au compte rendu de la séance suivante de la formation concernée. Mention y est faite du nom des membres ayant voté et de celui des membres n’ayant pas pris part à la consultation.
