I. – Pursuant to 1° of II of Article L. 612-14, the Supervisory Board may delegate its powers to the Chairman or, in his absence or impediment, to the Vice-Chairman or to another of its members, to take individual decisions falling within its remit, with the exception of those mentioned in Articles L. 511-41-3, L. 522-15-1, L. 526-29, L. 612-30, L. 612-32 to L. 612-34 and the first paragraph of Article L. 612-38 of the Monetary and Financial Code and Article L. 334-1 of the Insurance Code.
By virtue of the fifth paragraph of Article L. 612-15, the supervisory board may also give the Secretary General authority, except in the case of authorisations or changes to shareholdings in a supervised person, for the measures referred to in Articles L. 612-30 to L. 612-34 and the first paragraph of Article L. 612-38 of the Monetary and Financial Code and Article L. 334-1 of the Insurance Code, referral to the public prosecutor or the competition authorities, bringing a civil action, failure by a statutory auditor to comply with a legislative or regulatory provision applicable to it, or measures specific to the application of the provisions of Book VI of the Commercial Code.
II. – In application of 2° of II of Article L. 612-14, the Chairman may, after informing the Supervisory Board, delegate his signature to the Secretary General or the First Deputy Secretary General, or in their absence or impediment to other departmental staff.
III. – Decisions taken under the delegations referred to in I and II are reported to the Supervisory Board.
IV. – In matters falling within his own remit, the Secretary General may delegate his signature to the First Deputy Secretary General or to any other member of staff within the limits that he determines and designate the persons authorised to represent him.
V. – When the Chairman exercises the option provided for in 3° of II of Article L. 612-14, he shall report to the Supervisory Board on the exceptional circumstances that justified the exercise of this option and the reasons for his decision at its next meeting and at the latest within one month of his decision.
