Article R6141-66 of the French Public Health Code

The foundation is dissolved by a decision of the Board of Directors taken under the conditions set out in article R. 6141-65 or in the event of repeal of the decree approving its articles of association or, at the latest, on the date on which the unused portion of the endowment falls below 10% of the initial endowment or, for foundations with an endowment of more than ten million euros, one million euros.

The Board of Directors appoints one or more commissioners to carry out the liquidation of the foundation’s assets and grants them all the powers necessary to complete this task.

The Board of Directors allocates the net assets to one or more hospital foundations or, failing that, to one or more similar public or charitable establishments.

Dissolution is approved or pronounced, as appropriate, by a decree issued on the report of the Minister for Health and, where applicable, the Minister for Research.

La fondation est dissoute sur décision du conseil d’administration prise dans les conditions prévues à l’article R. 6141-65 ou en cas d’abrogation du décret approuvant ses statuts ou, au plus tard, à la date à laquelle la part non consommée de la dotation devient inférieure à 10 % de la dotation initiale ou, pour les fondations dont la dotation est supérieure à dix millions d’euros, à un million d’euros.

Le conseil d’administration désigne un ou plusieurs commissaires qu’il charge de procéder à la liquidation des biens de la fondation et auquel il confère tous les pouvoirs nécessaires pour mener à bien cette mission.

Le conseil d’administration attribue l’actif net à une ou plusieurs fondations hospitalières ou, à défaut, à un ou plusieurs établissements analogues, publics ou reconnus d’utilité publique.

La dissolution est, selon le cas, approuvée ou prononcée par décret pris sur le rapport du ministre chargé de la santé et, le cas échéant, du ministre chargé de la recherche.
