Article R6145-82 of the French Public Health Code

A university hospital centre which creates a subsidiary, takes control of a company within the meaning of article L. 233-3 of the Commercial Code or participates, directly or indirectly within the meaning of article L. 233-4 of the Commercial Code, in the capital of a company in application of article L. 6145-7, makes public the following information:

1° The form, name and purpose of the company and the address of its registered office;

2° The amount of the financial holdings, in the form of shares, stocks or bonds held and managed or equity capital, that it holds in the capital of the company and the proportion of the capital and voting rights that this represents;

3° The identity of the manager of the company and that of the other partners, indicating, where applicable, who holds the majority of the company’s capital.

Article R6145-82

Le centre hospitalier universitaire qui crée une filiale, prend le contrôle d’une société au sens de l’article L. 233-3 du code de commerce ou participe, directement ou indirectement au sens de l’article L. 233-4 du code de commerce, au capital d’une société en application de l’article L. 6145-7, rend publiques les informations suivantes :

1° La forme, la raison sociale et l’objet ainsi que l’adresse du siège de la société ;

2° Le montant des participations financières, sous forme de parts, d’actions ou d’obligations détenues et gérées ou de capitaux propres qu’il détient dans le capital de la société ainsi que la part du capital et des droits de vote que cela représente ;

3° L’identité du dirigeant de la société ainsi que celle des autres associés en indiquant, le cas échéant, celui qui détient la majorité du capital de la société.
