Article R6223-36 of the French Public Health Code

At the request of the transferee, a copy of the deed of transfer of the company shares, if it is drawn up by private agreement, or a copy of this deed if it is drawn up in the form of a notarised deed, is filed with the Trade and Companies Register in which the company is registered. Where the transferor, in the case provided for in article R. 6223-27, has refused to sign the deed, a copy of the summons issued by the transferee is filed with the secretariat of the court registry on expiry of the period provided for in that article. Until this formality has been completed, the transfer of shares may not be invoked against third parties, who may, however, rely on it.

Any interested party may, at his own expense, obtain from the secretary-registrar an extract of the deed of transfer containing, to the exclusion of all other information, those listed in the third paragraph of article R. 6223-16.

A la diligence du cessionnaire, un exemplaire de l’acte de cession des parts sociales, s’il est sous seing privé, ou une expédition de cet acte, s’il est établi en la forme authentique, est déposé au registre du commerce et des sociétés auquel la société est immatriculée. Lorsque le cédant, dans le cas prévu à l’article R. 6223-27, a refusé de signer l’acte, la copie de la sommation faite par le cessionnaire est déposée au secrétariat-greffe à l’expiration du délai prévu à cet article. Jusqu’à l’accomplissement de cette formalité, la cession des parts est inopposable aux tiers, qui peuvent toutefois s’en prévaloir.

Tout intéressé peut obtenir à ses frais la délivrance par le secrétaire-greffier d’un extrait de l’acte de cession contenant, à l’exclusion de toutes autres indications, celles qui sont énumérées au troisième alinéa de l’article R. 6223-16.
