Article R6223-74 of the French Public Health Code

Shares may only be transferred to third parties with the consent of all the shareholders. If the other shareholders refuse to give their consent to the share transferee, the shareholders are obliged, within a period of six months, to acquire or arrange for the acquisition of the shares at a price set by an expert, in the absence of an agreement between the parties. Failing this, the transferring shareholder may carry out the transfer initially planned.

Les parts sociales ne peuvent être cédées à des tiers qu’avec le consentement de tous les associés. En cas de refus d’agrément par les autres associés du cessionnaire de parts, les associés sont tenus, dans un délai de six mois, d’acquérir ou de faire acquérir les parts à un prix fixé par un expert, en l’absence d’accord entre les parties. A défaut, l’associé cédant peut réaliser la cession initialement prévue.
