Article R642-10 of the French Commercial code

The price of the transfer of the business is allocated by the liquidator in accordance with the provisions of the first section of chapter III of this title.

Where the transfer relates to a business, the transferee may, after paying the price, apply to the official receiver to have the registrations encumbering the business cancelled; the provisions of article R. 642-38 shall apply. However, no proof of purge is required.

Le prix de cession de l’entreprise est réparti par le liquidateur conformément aux dispositions de la première section du chapitre III du présent titre.

Lorsque la cession porte sur un fonds de commerce, le cessionnaire peut, après avoir payé le prix, saisir le juge-commissaire pour faire prononcer la radiation des inscriptions grevant le fonds ; les dispositions de l’article R. 642-38 sont applicables. Toutefois aucune justification de la purge n’est nécessaire.
