Article R743-118 of the French Commercial code

The closing meeting rules under the quorum and majority conditions provided for the approval of the company’s annual accounts.

If it is unable to deliberate or refuses to approve the liquidator’s accounts, the judicial court within the jurisdiction of which the company has its registered office shall rule at the request of the liquidator or any interested party.

L’assemblée de clôture statue dans les conditions de quorum et de majorité prévues pour l’approbation des comptes annuels de la société.

Si elle ne peut délibérer ou refuse d’approuver les comptes du liquidateur, le tribunal judiciaire dans le ressort duquel la société a son siège statue à la demande du liquidateur ou de tout intéressé.
