Article R743-130 of the French Commercial code

Any proposed increase in capital leading to the entry into the company of a new partner who does not intend to practise the profession or any proposed agreement by which one of the partners transfers all or part of his shares or corporate units to such a new partner must be declared in advance to the Minister of Justice, at least two months before it is carried out, under the conditions provided for in the first paragraph of Article R. 743-45.

The Keeper of the Seals, Minister of Justice, may object to the project within two months of receipt of the request.

Tout projet d’augmentation de capital conduisant à l’entrée, dans la société, d’un nouvel associé qui n’entend pas exercer la profession ou tout projet de convention par laquelle un des associés cède tout ou partie de ses actions ou parts sociales à un tel nouvel associé fait l’objet d’une déclaration préalable au garde des sceaux, ministre de la justice, au moins deux mois avant sa réalisation, dans les conditions prévues au premier alinéa de l’article R. 743-45.

Le garde des sceaux, ministre de la justice, peut s’opposer au projet dans un délai de deux mois après réception de la demande.
