Article R743-68-1 of the French Commercial code

The company is dissolved ipso jure when all the members exercising their functions within the company simultaneously cease to exercise their functions under the conditions provided for in article L. 741-1 or, when all the practising partners have successively ceased their functions under the conditions provided for by this article without the shares or corporate units of the others having been transferred to third parties at the date of retirement of the last of them.

La société est dissoute de plein droit lorsque tous les associés exerçant au sein de la société cessent simultanément d’exercer leurs fonctions dans les conditions prévues à l’article L. 741-1 ou, lorsque tous les associés exerçant ont successivement cessé leurs fonctions dans les conditions prévues par cet article sans qu’à la date du départ à la retraite du dernier d’entre eux, les actions ou parts sociales des autres aient été cédées à des tiers.
