Section 4: Common provisions.

The election of the officers takes place in the first and second rounds by an absolute majority of the members in office. In the third round, a relative majority is sufficient. In the event of a tie, the oldest candidate is elected. Voting by proxy is permitted but each member may only hold one proxy.

Outgoing members serve until their successors are installed. However, from the last day of voting until the new members are installed, outgoing members dispatch current business. .

The public establishments of the network of chambers of commerce and industry may settle under the conditions provided for in articles 2044 to 2058 of the Civil Code. Settlements are concluded by the authority competent to conclude contracts under the terms of the internal regulations referred to in Article R. 711-68. The draft transaction is subject to approval by the competent supervisory authority pursuant to Article R. 712-2 above a threshold set by the Minister responsible for overseeing chambers of commerce and industry. It is deemed to be approved if a reasoned decision to the contrary by the supervisory authority referred to in the first paragraph has not been notified to the Chairman within thirty days of receipt.

The public establishments of the network of chambers of commerce and industry may by arbitration clause or compromise submit to arbitration any dispute arising from a contract they have concluded and opposing them to one of their co-contractors.

The arbitration clause and the arbitration agreement shall be concluded in writing by the authority of the establishment competent to enter into the contract which is the subject thereof pursuant to the internal rules of the establishment. These rules define the authority competent to take measures to enforce the arbitration award.

The arbitration clause or the arbitration agreement shall designate the arbitrator(s) or define the procedures for choosing the arbitrator(s), which must guarantee the impartiality of the arbitrator(s), the procedures for their remuneration, the time limits within which the arbitral tribunal must rule and the conditions for publication of the arbitral award.

Contracts containing arbitration clauses and compromises entered into by the network’s institutions are communicated to the competent supervisory authority pursuant to Article R. 712-2. Where applicable, this authority is informed of the results of their implementation within two months of the adoption of the arbitration award.
