The list of names of the members of the Agency’s Board of Directors is drawn up by the Ministers for Overseas France and Health.

Members of the Boards of Directors who fall under the incompatibilities or incapacities provided for in article L. 6431-5 are automatically declared to have resigned by the Ministers for Overseas France and Health. The term of office of the members of the Board of Directors ends at the same time as the term of office or the functions in respect of which they were appointed. The term of office of the members of the Board of Directors appointed by the territorial assembly ends each time that assembly is renewed. If a member ceases to hold office before the normal expiry of his term of office, he shall be replaced within one month in the same manner. In this case, the duties of the new member shall end on the date on which those of the member he has replaced would have ended.

The Director of the agency or, if he is unable to attend, his representative, attends meetings of the Board of Directors in an advisory capacity. He may be assisted by staff of his choice. The secretariat is provided by the agency director.

The Accounting Officer and the Financial Controller attend meetings of the Board of Directors in an advisory capacity.

In the absence of the Chairman and his alternate mentioned in the last paragraph of article L. 6431-2, the meetings are chaired by the oldest member belonging to the categories mentioned in 1°, 2° and 6° of the same article.

In order to ensure their attendance at meetings of the Board of Directors, those of its members who are employees of the agency are granted leave of absence for a period equal to that of their working days. Under no circumstances will these leave entitlements be deducted from the holiday entitlements owed to these employees by their employer.
