Paragraph 3: Amendments to the Articles of Association

Within the limits provided for in article R. 4381-26, the number of members may be increased during the existence of the company, with or without an increase in the share capital.

If the constitution of reserves or the release of capital gains so permit, the share capital is periodically increased. The shares thus created are allocated to the members, including those who have contributed only their own labour, under the conditions set out in the second paragraph of article R. 4381-51, for the distribution of profits. Any amendment to the Articles of Association must be brought to the attention of the Director General of the Regional Health Agency, at the manager’s request, within one month. Similarly, the Director General of the Regional Health Agency must be notified, under the same conditions, of the internal rules, if they are drawn up after the application for registration, and of any amendments to these rules.
