Subsection 4: Operation

The duties of Supervisory Board members are performed free of charge. However, those concerned may be compensated for travel expenses incurred in the course of their duties. Members representing users are entitled to the representation leave provided for in article L. 3142-60 of the French Labour Code.

The Supervisory Board meets when convened by its Chairman or at the request of one third of its members. The agenda is drawn up by the Chairman and sent at least seven days in advance to all members of the Supervisory Board and to those who attend in an advisory capacity. The Chairman may suspend or adjourn the meeting. In this case, the Supervisory Board is reconvened within a period of between three and eight days.

The Supervisory Board may only validly deliberate if at least half plus one of its members attend the meeting. However, if this quorum is not reached after the meeting has been duly convened, the decision taken at a second meeting, which must be held within three to eight days, is deemed valid regardless of the number of members present. The Supervisory Board meets at least four times a year, unless its internal regulations provide for a greater number of meetings. Supervisory Board meetings are not public. Members of the Supervisory Board and other persons invited to attend its meetings are bound by an obligation of discretion with regard to information of a confidential nature.

The term of office of Supervisory Board members is five years. The term of office of the members of the Supervisory Board ends at the same time as the term of office or functions in respect of which the persons concerned were appointed, subject to the provisions of the following paragraph. Members of the Supervisory Boards who fall under the incompatibilities or incapacities provided for in article L. 6143-6 shall resign from their office. Failing this, they shall be declared to have resigned automatically by the Director General of the Regional Health Agency. Deliberations are kept in a register under the responsibility of the Chairman of the Executive Board. This register is available to members of the Supervisory Board and to the public, who may consult it on site. They may also obtain copies or extracts of the minutes. Deliberations are forwarded without delay to the Director General of the Regional Health Agency. The Director General may be represented on the Supervisory Board.

The members of the Supervisory Board receive minutes of the meeting within fifteen days of each meeting.

The Supervisory Board is provided with material, financial and human resources by the Director of the establishment. The secretariat of the Supervisory Board is provided by the latter.
