Subsection 2: Operation of hospital foundations

The Foundation is administered by a Board of Directors and managed by a Director.

I. – The Board of Directors is made up of representatives of the public establishments which have irrevocably assigned assets, rights or resources to the purpose of the foundation or which have made a contribution to the endowment. The Chairman of the Board of Directors is elected by the members of the Board of Directors from among the representatives of the founding public institutions. He chairs the Board of Directors, convenes its meetings and sets the agenda. He represents the Foundation in legal proceedings and in all civil acts. He may delegate powers to the Director under the conditions defined by the internal regulations.

The Director of the Foundation is appointed by the President after consultation with the Board of Directors. His or her appointment shall be terminated under the same conditions. Foundations have a Scientific Advisory Board. This board is made up of medical and scientific personalities from outside the foundation, appointed by the Board of Directors in accordance with the procedures set out in the Articles of Association.
