Members’ Meetings are chaired by the person designated in the Articles of Association. Failing this, the meeting elects its own chairman. The minutes of the General Meeting mention the date and place of the meeting, the method of convening, the agenda, the composition of the officers, the number of shares participating in the vote and its consequences for the quorum, the documents and reports submitted to the meeting, a summary of the discussions, the text of the resolutions put to the vote and the results of the votes. The minutes are recorded in a special register kept at the company’s registered office. This register is listed and initialled by a judge of the judicial court or by the mayor of the municipality or one of his deputies, in the ordinary form and free of charge.

Copies of or extracts from the minutes of General Meetings are validly certified by the Management Company or by a member of the Supervisory Board. They may also be certified by the secretary of the meeting.
