Article 1336 of the French Civil Code

Delegation is a transaction by which one person, the delegator, obtains from another, the delegate, an obligation to a third, the delegatee, who accepts it as a debtor.

The delegate may not, unless otherwise stipulated, set up against the delegatee any exception drawn from its relationship with the delegator or from the relationship between the delegator and the delegatee.

La délégation est une opération par laquelle une personne, le délégant, obtient d’une autre, le délégué, qu’elle s’oblige envers une troisième, le délégataire, qui l’accepte comme débiteur.

Le délégué ne peut, sauf stipulation contraire, opposer au délégataire aucune exception tirée de ses rapports avec le délégant ou des rapports entre ce dernier et le délégataire.
