Article 1831-3 of the French Civil Code

If, prior to completion of the programme, the project owner assigns the rights it has in the programme, the assignee is substituted ipso jure, actively and passively, for it in the entire contract. The assignor is guarantor of the performance of the obligations placed on the project owner by the assigned contract.

Special mandates given to the developer continue between the developer and the assignee.

The developer may not substitute a third party for himself in the performance of the obligations he has entered into towards the project owner without the latter’s agreement.

The property development contract may only be relied on as against third parties from the date on which it is entered in the property register.

Si, avant l’achèvement du programme, le maître de l’ouvrage cède les droits qu’il a sur celui-ci, le cessionnaire lui est substitué de plein droit, activement et passivement, dans l’ensemble du contrat. Le cédant est garant de l’exécution des obligations mises à la charge du maître de l’ouvrage par le contrat cédé.

Les mandats spéciaux donnés au promoteur se poursuivent entre celui-ci et le cessionnaire.

Le promoteur ne peut se substituer un tiers dans l’exécution des obligations qu’il a contractées envers le maître de l’ouvrage sans l’accord de celui-ci.

Le contrat de promotion immobilière n’est opposable aux tiers qu’à partir de la date de sa mention au fichier immobilier.
