Article 30-17 of the French Code of civil procedure

The draft merger, demerger or partial contribution of assets is drawn up by the management of each association participating in the operation at least two months before the date of the deliberations provided for in the first three paragraphs of article 79-IV of the local civil code applicable to the departments of Bas-Rhin, Haut-Rhin and Moselle.

It contains the following:

1° The title, object, registered office, volume and folio number of the association’s entry in the court’s register of associations, a copy of the current articles of association and, where applicable, the latest annual activity report, of all the participating associations;

2° Where applicable, an extract of the decision recognising the public utility mission of the participating associations ;

3° The reasons, aims and conditions of the merger, demerger or partial contribution of assets;

4° Where applicable, the title, object, registered office, envisaged articles of association of the new association resulting from the merger, demerger or partial contribution of assets or the amended articles of association of the participating legal entities ;

5° Where applicable, a copy of the applications for the continuation of an administrative authorisation, approval, conventionnement or habilitation, under the conditions mentioned in IV of article 79-IV of the local civil code applicable to the départements of Bas-Rhin, Haut-Rhin and Moselle;

6° The designation and valuation of the assets and liabilities as well as the commitments entered into, the transfer of which to the beneficiary or new associations is planned, and the valuation methods used.

The draft merger, demerger or partial contribution of assets and, where applicable, the report of the operation auditor referred to in the fifth paragraph of article 79-IV of the aforementioned local civil code are attached to the statutory notice convening the meetings of the members of the participating associations called to decide on the operation, as provided for in the first three paragraphs of the same article. This notice mentions the documents made available at the registered office or on the internet site of the associations under the conditions of article annexe 30-19.

Article 30-17

Le projet de fusion, de scission ou d’apport partiel d’actif est arrêté par la direction de chaque association participant à l’opération au moins deux mois avant la date des délibérations prévues aux trois premiers alinéas de l’article 79-IV du code civil local applicable aux départements du Bas-Rhin, du Haut-Rhin et de la Moselle.

Il contient les éléments suivants :

1° Le titre, l’objet, le siège social, le numéro de volume et de folio d’inscription de l’association au registre des associations du tribunal, une copie des statuts en vigueur et, le cas échéant, le dernier rapport annuel d’activités, de l’ensemble des associations participantes ;

2° Le cas échéant, un extrait de la décision de reconnaissance de la mission d’utilité publique des associations participantes ;

3° Les motifs, buts et conditions de la fusion, de la scission ou de l’apport partiel d’actif ;

4° Le cas échéant, le titre, l’objet, le siège social, les statuts envisagés de la nouvelle association résultant de l’opération de fusion, de scission ou d’apport partiel d’actif ou les statuts modifiés des personnes morales participantes ;

5° Le cas échéant, une copie des demandes tendant à la poursuite d’une autorisation administrative, d’un agrément, d’un conventionnement ou d’une habilitation, dans les conditions mentionnées au IV de l’article 79-IV du code civil local applicable aux départements du Bas-Rhin, du Haut-Rhin et de la Moselle ;

6° La désignation et l’évaluation de l’actif et du passif ainsi que des engagements souscrits, dont la transmission aux associations bénéficiaires ou nouvelles est prévue, et les méthodes d’évaluation retenues.

Le projet de fusion, de scission, d’apport partiel d’actif ainsi que, le cas échéant, le rapport du commissaire à l’opération mentionné au cinquième alinéa de l’article 79-IV du code civil local susvisé sont joints à la convocation statutaire en vue des délibérations des assemblées des membres des associations participantes appelées à statuer sur l’opération, prévues aux trois premiers alinéas du même article. Cette convocation mentionne les documents mis à disposition au siège social ou sur le site internet des associations dans les conditions de l’article annexe 30-19.
