Article D214-206-1 of the French Monetary and Financial Code

The extract from the articles of association of the société de libre partenariat referred to in article L. 214-162-6 is filed in the appendix to the register of companies. It is signed by the general partners and must contain :

1° The names of the active partners, in particular :

a) For natural persons: their surname, first name, address, date and place of birth ;

b) For legal entities: their company name, registered office address and objects;

2° The corporate name of the société de libre partenariat, its purpose and the address of its registered office;

3° The designation of the managing partners with general authority to bind the company with respect to third parties;

4° The date of incorporation and the term of the company;

5° the conditions and procedures for collective decision-making, including those for amending the Articles of Association;

6° The procedures for transferring the shares of limited and general partners.

This information is updated, in particular, in the event of a transfer of shares by a general partner.

L’extrait des statuts de la société de libre partenariat mentionné à l’article L. 214-162-6 est déposé en annexe du registre du commerce et des sociétés. Il est signé par les associés commandités et doit contenir :

1° La désignation des associés commandités, notamment :

a) Pour les personnes physiques : leur nom, prénom, adresse, date et lieu de naissance ;

b) Pour les personnes morales : leur dénomination sociale, adresse des sièges sociaux et objets ;

2° La dénomination sociale de la société de libre partenariat, son objet et l’adresse de son siège social ;

3° La désignation des gérants ayant le pouvoir général d’engager la société envers les tiers ;

4° La date de constitution et la durée de vie de la société ;

5° Les conditions et modalités de prise de décision collective, y compris celles permettant la modification des statuts ;

6° Les modalités de transfert de parts des associés commanditaires et commandités.

Ces informations sont mises à jour, notamment, en cas de cession de parts d’un associé commandité.
