Article D223-2 of the French Commercial code

A model set of standard articles of association for a société à responsabilité limitée where the sole member, a natural person, personally assumes management is set out in Appendix 2-1 to this book.

The single body referred to in article R. 123-1 makes this model of standard articles of association available to the founder of the company, free of charge and by electronic means.

It informs the founder that these standard articles of association apply unless different articles of association were attached when the company applied for registration.

Un modèle de statuts types de la société à responsabilité limitée dont l’associé unique, personne physique, assume personnellement la gérance figure en annexe 2-1 au présent livre.

L’organisme unique mentionné à l’article R. 123-1 met, gratuitement et par voie électronique, ce modèle de statuts types à disposition du fondateur de la société.

Il l’informe de ce que ces statuts types s’appliquent à moins qu’il n’ait été joint des statuts différents lors de la demande d’immatriculation de la société.
