Article L138-2 of the French Intellectual Property Code

I.-When a collective management organisation governed by Title II of Book III of this Part and approved for this purpose by the Minister for Culture concludes, in accordance with the mandates given by the rights holders, a contract on a non-exclusive basis and for non-commercial purposes, with a view to the reproduction or performance of an unavailable work, with a library accessible to the public, a museum, an archive service or an institution that is a repository of film, audiovisual or sound heritage, this contract may be extended to rights holders who are not members of this organisation by order of the Minister for Culture.

II.
II – The approval referred to in I is granted in consideration of:

1° Whether it is sufficiently representative, by virtue of its remit, of the rightholders as regards the type of works concerned and the type of rights that are the subject of the licence;

2° Equal treatment guaranteed to all right holders, whether or not they are members of the organisation, with regard to the terms of the licence and the rules for distributing the sums collected;

3° The professional qualifications of the directors;

4° The human and material resources that the organisation proposes to implement to ensure the management of the rights concerned.

Article L138-2

I.-Lorsqu’un organisme de gestion collective régi par le titre II du livre III de la présente partie et agréé à cet effet par le ministre de la culture conclut, conformément aux mandats donnés par les titulaires de droits, un contrat à titre non exclusif et à des fins non commerciales, en vue de la reproduction ou de la représentation d’une œuvre indisponible, avec une bibliothèque accessible au public, un musée, un service d’archives ou une institution dépositaire du patrimoine cinématographique, audiovisuel ou sonore, ce contrat peut être étendu aux titulaires de droits non membres de cet organisme par arrêté du ministre chargé de la culture.

II.-L’agrément mentionné au I est délivré en considération :

1° Du caractère suffisamment représentatif en vertu de ses mandats des titulaires de droits en ce qui concerne le type d’œuvres concernées et le type de droits qui font l’objet de la licence ;

2° De l’égalité de traitement garantie à tous les titulaires de droits, qu’ils soient ou non membres de l’organisme, en ce qui concerne les conditions de la licence et les règles de répartition des sommes perçues ;

3° De la qualification professionnelle des dirigeants ;

4° Des moyens humains et matériels que l’organisme propose de mettre en œuvre pour assurer la gestion des droits concernés.
