Article L146-1 of the French Commercial code

Natural or legal persons who manage a business or a craft business in return for payment of a commission proportional to sales are referred to as “agent-managers” when the contract concluded with the principal, on whose behalf, or as part of a network, they manage the business, who remains the owner and bears the risks associated with its operation, sets them a mission, leaving them free, within the framework thus drawn up, to determine their working conditions, to hire staff and to substitute replacements in their activity at their own expense and under their full responsibility.

The assignment specifies, where applicable, the standards of management and operation of the business to be complied with and the terms and conditions of any controls that may be carried out by the principal. These commercial clauses do not alter the nature of the contract.

The manager-agent is registered in the Trade and Companies Register and, where applicable, in the National Register of Companies as a business in the trades and crafts sector. The contract is mentioned in these registers and is published in a medium authorised to receive legal notices.

The provisions of this chapter do not apply to professions governed by Chapter II of Title VIII of Book VII of the code du travail.

Les personnes physiques ou morales qui gèrent un fonds de commerce ou un fonds artisanal, moyennant le versement d’une commission proportionnelle au chiffre d’affaires, sont qualifiées de ” gérants-mandataires ” lorsque le contrat conclu avec le mandant, pour le compte duquel, le cas échéant dans le cadre d’un réseau, elles gèrent ce fonds, qui en reste propriétaire et supporte les risques liés à son exploitation, leur fixe une mission, en leur laissant toute latitude, dans le cadre ainsi tracé, de déterminer leurs conditions de travail, d’embaucher du personnel et de se substituer des remplaçants dans leur activité à leurs frais et sous leur entière responsabilité.

La mission précise, le cas échéant, les normes de gestion et d’exploitation du fonds à respecter et les modalités du contrôle susceptible d’être effectué par le mandant. Ces clauses commerciales ne sont pas de nature à modifier la nature du contrat.

Le gérant-mandataire est immatriculé au registre du commerce et des sociétés et, le cas échéant, au registre national des entreprises en tant qu’entreprise du secteur des métiers et de l’artisanat. Le contrat est mentionné à ces registres et fait l’objet d’une publication sur un support habilité à recevoir des annonces légales.

Les dispositions du présent chapitre ne sont pas applicables aux professions régies par le chapitre II du titre VIII du livre VII du code du travail.
