Article L214-105 of the French Monetary and Financial Code

Any member may vote by post, using a form, the details of which are set by order of the Minister for the Economy. Clauses to the contrary in the Articles of Association are deemed unwritten.

For the purposes of calculating the quorum, only forms received by the company before the General Meeting, within a period set by the same order, are taken into account. Forms giving no vote or expressing an abstention are considered as negative votes.

Tout associé peut voter par correspondance, au moyen d’un formulaire dont les mentions sont fixées par arrêté du ministre chargé de l’économie. Les clauses contraires des statuts sont réputées non écrites.

Pour le calcul du quorum, il n’est tenu compte que des formulaires reçus par la société avant la réunion de l’assemblée, dans un délai fixé par le même arrêté. Les formulaires ne donnant aucun sens de vote ou exprimant une abstention sont considérés comme des votes négatifs.
