Article L214-162-2 of the French Monetary and Financial Code

A société de libre partenariat may, under the conditions laid down in its articles of association, delegate the overall management of its portfolio to a portfolio management company. This task alone does not confer on this company or manager the status of manager of the société de libre partenariat.

The portfolio management company has the power to take all decisions relating to the management of the portfolio, including the power to represent the société de libre partenariat for this purpose.

When the société de libre partenariat is registered in the Trade and Companies Register or after such registration, the management company may be declared as a partner or third party with the power to manage and bind the société de libre partenariat on a regular basis for all decisions relating to the management of the portfolio. This declaration specifies that the power of the management company is limited to acts relating to the management of the portfolio.

Une société de libre partenariat peut, dans les conditions prévues par les statuts, déléguer globalement la gestion de son portefeuille à une société de gestion de portefeuille. Cette mission seule ne confère pas à cette société ou à ce gestionnaire la qualité de gérant de la société de libre partenariat.

La société de gestion de portefeuille a le pouvoir de prendre toute décision relative à la gestion du portefeuille, y compris le pouvoir de représentation de la société de libre partenariat à cet effet.

Lors de l’immatriculation de la société de libre partenariat au registre du commerce et des sociétés ou postérieurement à cette immatriculation, la société de gestion peut être déclarée en tant qu’associée ou tiers ayant le pouvoir de gérer et d’engager à titre habituel la société de libre partenariat pour toute décision relative à la gestion du portefeuille. Cette déclaration précise que le pouvoir de la société de gestion est limité aux actes relatifs à la gestion du portefeuille.
