A société de placement à prépondérance immobilière à capital variable (open-ended real estate investment company with predominantly variable capital) is a société anonyme (public limited company) or a société par actions simplifiée (simplified joint stock company) with variable capital in the form of a société par actions simplifiée (simplified joint stock company), other than a société par actions simplifiée (simplified joint stock company) set up by a single person and whose articles of association expressly prohibit multiple members, subject to the rules of this sub-paragraph.
The registered office and central administration of the société de placement à prépondérance immobilière à capital variable are located in France.
Subject to Article L. 214-45 and the conditions laid down by the General Regulations of the Autorité des marchés financiers, the shares of a société de placement à prépondérance immobilière à capital variable are issued and redeemed at the request of shareholders at their net asset value plus or minus fees and commissions, as applicable.
The amount of capital is equal at all times to the value of the net assets of the open-ended preponderantly real estate investment company, less the distributable sums defined in I of article L. 214-69.
The initial capital of a société de placement à prépondérance immobilière à capital variable may not be less than an amount set by decree.
